Terms and Conditions

Welcome to Raised! Please carefully review these Terms and Conditions ("Terms") before accessing or using our AI-powered fundraising CRM (the “Service”), available at app.raised.capital. Raised is a trading name of Corelayer Ltd. By using the Service, you agree to comply with and be bound by these Terms. Effective date: August 26, 2026.

1. No Investment, Legal or Tax Advice

The Service provides software tools and informational content for organising a fundraise. Nothing in the Service, including AI-generated analysis, drafted documents, term-sheet templates or educational content, constitutes investment, legal, tax or accounting advice, and it is not a substitute for professional advisers. Before signing any fundraising document or accepting any investment, you should consult:

  • A qualified lawyer, for any term sheet, SAFE or investment agreement
  • A qualified accountant or tax adviser, for the tax consequences of a round

By using the Service, you acknowledge that decisions about your fundraise, and the documents you send or sign, remain entirely your responsibility.

2. AI-Generated Content

The Service uses artificial intelligence to produce summaries, sentiment analysis, tier scores, drafted updates and documents. AI output can be incomplete, inaccurate or wrong. You are responsible for reviewing all AI-generated content before relying on it or sending it to anyone. We make no warranty as to the accuracy of any AI output.

3. No Guarantee of Results

Fundraising outcomes vary greatly and depend on numerous factors including your business, market conditions, timing and execution. Use of the Service does not guarantee meetings, term sheets, investment, or any fundraising outcome whatsoever.

4. Data You Import and Third-Party Rights

The Service allows you to import contacts, network data, and calendar events (for example from LinkedIn or Google Calendar). You warrant that you have the right to import and process this data, that your use of it through the Service complies with applicable data-protection law and the terms of the source platforms, and that you will use imported contact data responsibly.

5. User Accounts and Eligibility

You must be at least 18 years old to create an account and use the Service. The Service is intended for business use.

You agree to provide accurate, current registration information and update it as necessary.

You are responsible for all activity occurring under your account and must keep your login credentials confidential. Authentication is provided via Supabase.

6. User Conduct

You agree not to:

  • Use the Service to send spam or unlawful communications to investors or anyone else
  • Submit misleading, fraudulent, or unlawful content, including in materials prepared for investors
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorised access to the Service or interfere with its operation
  • Use the Service for illegal purposes

We reserve the right to suspend or terminate your account for violations without prior notice.

7. Proprietary Rights and Your Content

All intellectual property rights in the Service, including software, content, graphics, trademarks, and logos, belong to Corelayer Ltd or its licensors. You may not copy, modify, distribute, or exploit the Service without explicit permission. You retain all rights to the content you create or upload, including your contacts, notes, documents, decks and term sheets, and grant us only the licence needed to operate the Service for you. You can export your data in full at any time.

8. Privacy Policy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, store, protect, and use your personal data and the fundraising data you import. Please review it carefully.

9. Payment Terms

The Service is offered on a paid subscription: one plan with total access, billed monthly or annually as described at the point of purchase.

All payments are non-refundable, except as required by applicable law or expressly stated otherwise in these Terms.

Subscription payments renew automatically unless canceled prior to the next billing cycle. You can cancel at any time from within the Service, and cancellation takes effect at the end of the current billing period.

If you are given trial or complimentary access, any conversion to a paid subscription and the applicable fee will be clearly presented before you are charged.

By subscribing, you authorize ongoing billing until cancellation.

10. Termination

We may suspend or terminate your account at our sole discretion, with or without notice, especially for breach of these Terms. On termination you may request an export of your data within a reasonable period.

11. Limitation of Liability

To the fullest extent permitted by law, Corelayer Ltd and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost investment opportunities, lost profits, or damages arising from your use of the Service or reliance on its output. Our maximum aggregate liability is limited to the amount paid by you for the Service in the preceding 12 months.

12. Indemnification

You agree to indemnify Corelayer Ltd and its representatives from losses, damages, claims, or expenses arising from your violation of these Terms, your misuse of the Service, or your use of data you imported without the necessary rights.

13. Dispute Resolution

We encourage you to contact us first at general@raised.capital so we can try to resolve any dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles.

16. Third-Party Services

The Service integrates with third-party services you choose to connect, such as Google Calendar and LinkedIn data you export and import. Your use of those services is governed by their own terms, and we are not responsible for their availability or conduct.
